TERMS AND CONDITIONS
1. GENERAL TERMS
1.1 These Terms and Conditions ("Agreement") govern all sales and services provided by General Crane Service & Supply Ltd. ("Company") to its customers ("Customer").
1.2 By engaging in business with the Company, the Customer agrees to abide by these Terms and Conditions.
2. QUOTATIONS & PRICING
2.1 All quotations provided by the Company are valid for thirty (30) days unless otherwise specified in writing.
2.2 Prices are subject to change due to tariffs, supplier costs, and other market fluctuations beyond the Company’s control.
2.3 Any changes in tariffs, taxes, duties, or surcharges imposed by authorities after the issuance of a quotation may result in price adjustments accordingly.
3. PAYMENT TERMS
3.1 Payment terms are Net 30 days from the date of invoice unless otherwise agreed upon in writing.
3.2 A late payment charge of 24% per annum (2% per month) will apply to all overdue accounts.
3.3 The Company reserves the right to withhold further service or product delivery if payment is outstanding beyond the agreed-upon terms.
4. WARRANTY
4.1 The Company warrants that all products and services provided will be free from defects in materials and workmanship for a period of twelve (12) months from the date of invoice unless otherwise stated.
4.2 The warranty is limited to repair or replacement of defective parts or services at the sole discretion of the Company.
4.3 Warranty claims must be submitted in writing and accompanied by proof of purchase.
4.4 This warranty does not cover damage caused by improper use, lack of maintenance, unauthorized repairs, normal wear and tear, or external factors beyond the Company's control.
5. DELIVERY & RISK OF LOSS
5.1 Delivery dates are estimates only and subject to change due to supply chain issues, labor shortages, or other unforeseen circumstances.
5.2 The Company is not responsible for delays caused by third-party carriers or suppliers.
5.3 Risk of loss or damage passes to the Customer upon delivery of the goods to the designated location.
6. RETURNS & CANCELLATIONS
6.1 No returns will be accepted without prior authorization from the Company.
6.2 Returned items must be in their original packaging and in unused condition, subject to inspection.
6.3 Special order or custom items are non-refundable.
6.4 Cancellation of an order after processing may be subject to restocking fees or non-refundable costs incurred by the Company.
7. LIMITATION OF LIABILITY
7.1 The Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of its products or services.
7.2 The maximum liability of the Company shall not exceed the total amount paid by the Customer for the specific product or service in question.
8. FORCE MAJEURE
8.1 The Company is not liable for delays or failures in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, supplier shortages, or government actions.
9. GOVERNING LAW
9.1 This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Alberta, Canada.
9.2 Any disputes arising from these Terms and Conditions shall be resolved in the courts of Alberta, Canada.
10. MODIFICATIONS
10.1 The Company reserves the right to amend these Terms and Conditions at any time. Updated terms will be made available upon request or posted on the Company’s website.
11. ENTIRE AGREEMENT
11.1 These Terms and Conditions constitute the entire agreement between the Company and the Customer and supersede any prior agreements, representations, or understandings.
